Terms of service
These terms are the agreement between your business ("you") and Jason Catalano, ABN 72 558 933 170, trading as Replivo ("Replivo", "we" or "us"). By signing up or using Replivo, you agree to them. We've kept them short and in plain English.
1. What Replivo does
Replivo is an assistant for your business. It texts back callers you miss, replies to customer texts and website chats using the information you give it, drafts quotes for your approval, books jobs into your open hours, sends invoices and reminders, and alerts you when something needs you. The features you get depend on your plan.
2. Your account
- Keep your sign-in details private. You're responsible for what happens in your account.
- Give Replivo accurate information about your business, prices, hours and policies, and keep it up to date. The assistant only knows what you tell it.
- You must be authorised to act for the business you sign up.
3. AI replies and your responsibilities
- Replivo uses artificial intelligence to write replies. It's designed to stick to the facts and prices you provide and to hand anything it's unsure about to you, but it can make mistakes. Check your chats regularly and step in when needed.
- Quotes are drafts until you approve them. Once you send a quote, invoice or message through Replivo, it's your quote, invoice or message, and you're responsible for its price, content and any work that follows.
- Replivo is not an emergency service. It tells people in danger to call 000 and alerts you, but you must not rely on it for emergencies.
- Use Replivo only to talk with people who contact your business or who you're quoting, booking or invoicing. Don't use it for bulk marketing, and follow Australian laws including the Spam Act 2003 and the Privacy Act 1988.
- Invoices are created from the details you enter. You're responsible for them being correct, including any GST, and for your own tax obligations.
4. Your Replivo number
We provide a phone number for your account as part of the service. It stays ours, and we release it when your subscription ends. Your own mobile and business numbers stay yours. Call forwarding is set up on your phone, so remember to switch it off if you cancel.
5. Plans, fees and payment
- Plans and prices are shown on our website or agreed with you in writing. Fees are charged monthly in advance.
- Your plan includes a number of conversations a month. If you regularly go well over, we'll talk with you about what fits.
- We'll give you at least 30 days' notice before changing your price.
- If a payment is more than 14 days overdue, we may pause your account until it's paid. We'll warn you first.
- Any free trial or free month ends on the date we tell you. Your plan starts after that unless you cancel.
6. Cancelling
There's no lock-in contract. Cancel any time by letting us know, and the service stops at the end of the month you've paid for. We don't refund part months, except where the law requires it. Within 30 days of cancelling, you can ask us for a copy of your customer chats, quotes and invoices. After that we delete your data, apart from records we must keep by law.
7. Your data
Your customer information, chats, quotes and invoices belong to your business. We use them only to provide Replivo to you, as explained in our privacy policy. We keep backups to protect against loss. You're responsible for having a lawful reason to collect your customers' details and for telling them how you use them.
8. Keeping Replivo running
We work hard to keep Replivo running smoothly, but we can't promise it will always be available or error free. It relies on other providers, including phone networks, our text messaging provider, our AI provider and our hosting provider, and messages can occasionally be delayed or not delivered. We may update or improve features over time.
9. Suspending accounts
We may suspend or close an account that is used for spam, abuse, anything unlawful, or in a way that puts the service or other customers at risk. Where we reasonably can, we'll talk to you first.
10. Liability
Nothing in these terms excludes rights you have under the Australian Consumer Law that can't be excluded. Apart from those rights, and to the extent the law allows:
- we're not liable for indirect or consequential loss, including lost jobs, profits, revenue or data; and
- our total liability to you is limited to the fees you paid us in the 3 months before the claim.
Where the Australian Consumer Law lets us limit our liability for a failure to meet a guarantee, our liability is limited to supplying the service again or paying the cost of having it supplied again.
11. Changes to these terms
We may update these terms. We'll let you know about important changes at least 30 days before they take effect. If you keep using Replivo after that, the new terms apply.
12. Governing law
These terms are governed by the laws of Western Australia.
